Valvex END USER LICENSE TERMS ====================== Version 1.3 — October 22, 2026 ENGLISH TRANSLATION, FOR INFORMATION ONLY. The authentic version of these terms is the Spanish one, TERMINOS-DE-LICENCIA.txt. In case of any discrepancy, the Spanish text prevails (section 17.5). PLAIN-LANGUAGE NOTICE --------------------- This is a contract. What follows are the full terms, but the honest summary fits in seven lines: · The free version of the Program is complete and yours to use, including to make money with it. It never expires. · The LIVE License unlocks features, never sound quality. · Your key is yours and is tied to your email. You may transfer it if you sell your copy. · Whatever you record, capture or play with the Program is yours. We claim nothing. · The factory cabinets are exclusive to Valvex: record whatever you want with them, but they may not be extracted, captured or shared. · The Program sends nothing anywhere. There is no telemetry. · The Program is not guaranteed to be fit for any particular purpose, and liability is limited to what you paid. The summary does NOT replace the sections below. If they contradict each other, the sections prevail. 1. PARTIES AND ACCEPTANCE ------------------------- 1.1. These terms (the "Agreement") govern the use of Valvex (the "Program"), including its standalone application and VST3 plugin versions, its documentation and its updates. 1.2. The Program is the work of its author and rights holder, Orlando Arturo Suarez Garcia, an individual, Colombian tax ID (NIT) 72.346.821-8, domiciled at Calle 137 # 91-40, Bogotá D.C., Colombia, phone +57 300 294 7366 (the "Licensor"). Contact email: soporte@valvexamp.com. Whoever installs or uses the Program is the "Licensee". 1.3. Installing, copying or using the Program constitutes full acceptance of this Agreement. Anyone who does not accept these terms must refrain from installing or using the Program and delete any copy in their possession. 1.4. If the Licensee accepts this Agreement on behalf of a company or other entity, they represent that they have sufficient authority to bind it. 2. DEFINITIONS -------------- 2.1. "Free Version": the Program without a registered LIVE License. 2.2. "LIVE License": the paid tier that enables the features described in section 4.2. 2.3. "Key": the alphanumeric string that the Licensor delivers to the Licensee, uniquely linked to an email address, which enables the LIVE License. 2.4. "User Content": the files that the Licensee loads into the Program or creates with it, including neural captures, impulse responses, presets and configurations. 2.5. "Factory Cabinets": the cabinet impulse responses built into the Program as standard — as of this version, "4x12 Modern" and "4x12 Vintage" — and any the Licensor adds in the future. They are original works of the Licensor and are not part of the User Content. 3. SUBJECT AND SCOPE OF THE LICENSE ----------------------------------- 3.1. The Licensor grants the Licensee a personal, non-exclusive license of indefinite duration, on the terms of this Agreement. 3.2. The license is NOT a sale. The Licensor retains ownership of the Program and of all intellectual property rights in it. 3.3. PERMITTED INSTALLATIONS. The Licensee may install and use the Program on as many computers owned by or under the control of the Licensee as needed, as long as it is the Licensee who uses it. The license follows the person, not the computer. 3.4. COMMERCIAL USE PERMITTED, ROYALTY-FREE. The Licensee may use the Program to record, produce, perform live, broadcast and commercially exploit the resulting sound, without paying royalties or asking for permission, both in the Free Version and with a LIVE License. The audio that comes out of the Program belongs to the Licensee. This refers to the music and sound the Licensee produces by playing; it does not include impulse responses, captures, profiles or models obtained from the Program in order to reproduce the Factory Cabinets or other components of it, which are governed by section 6.1.(g). 3.5. TRANSFER PERMITTED. The LIVE License may be transferred to a third party permanently, provided that the Licensee: (a) notifies the Licensor of the transfer so that the Key can be reissued in the transferee's name; (b) removes the Program and the Key from their computers; and (c) keeps no copy at all. The Program includes a function to delete the registered license precisely for this purpose. 3.6. FACTORY CABINETS, EXCLUSIVE TO THE PROGRAM. The Factory Cabinets are the exclusive property of the Licensor and exclusive to Valvex: they are not sold, licensed or distributed separately. This Agreement permits their use only within the Program. Whatever the Licensee records or plays with them belongs to the Licensee, in accordance with section 3.4. 4. FREE VERSION AND LIVE LICENSE -------------------------------- 4.1. The Free Version is a complete program with no time limit. It is NOT a demo: it does not degrade, does not expire and does not introduce noise, audio watermarks, silences or any limitation of audio quality, sample rate or number of instances. 4.2. The LIVE License enables additional features only, which as of this version are: live mode with its banks of slots and gapless configuration switching; full MIDI control, including control learning and per-configuration maps; and the direct output without cabinet simulation on an independent channel. 4.3. The Licensor reserves the right to move features from the LIVE License to the Free Version. It will not move features in the opposite direction: what is free today will not become paid for anyone who already has it installed. 4.4. COMMITMENT ON SOUND. The Licensor undertakes not to limit, now or in the future, the audio quality of the Free Version relative to the LIVE License. This obligation is enforceable and forms part of the Agreement. 5. LICENSE KEY -------------- 5.1. The Key is personal and is linked to the email address provided at purchase. The Licensee is responsible for keeping it safe. 5.2. Publishing, distributing, reselling separately, lending or otherwise making the Key available to third parties is prohibited, except in the case of a permanent transfer under section 3.5. 5.3. The Licensor may reissue the Key if it is lost, upon reasonable proof of purchase. 5.4. The Program's licensing mechanism is local and does not constitute a robust technological protection measure. This does not authorize circumventing it: the prohibition in section 6.1.(e) applies regardless of how technically difficult it is to breach. 6. RESTRICTIONS --------------- 6.1. The Licensee shall not, and shall not allow third parties to: (a) distribute, sell, rent, lend, sublicense or make available to the public the Program or any of its components, except for the transfer under section 3.5; (b) decompile, disassemble or reverse engineer the Program, except to the extent that mandatory law permits it and only for the purposes that such law authorizes; (c) modify, adapt or create derivative works of the Program; (d) remove or alter ownership notices, trademarks or third-party license notices; (e) circumvent, disable or interfere with the licensing mechanism, or generate, distribute or use keys not issued by the Licensor; (f) use the Program to develop a competing product by extracting its algorithms, models or impulse responses; (g) extract, copy, capture or reconstruct the Factory Cabinets by any means — including obtaining them from the Program's files or memory, and capturing their response by passing an impulse, a sweep or any other test signal through the Program — or distribute, sell, give away, publish or include the result in collections of impulse responses, captures, profiles or third-party products, whether for a fee or free of charge. 6.2. Nothing in this section restricts the rights that mandatory law grants the Licensee, in particular those relating to interoperability and backup copies. 7. USER CONTENT --------------- 7.1. User Content is and remains the property of the Licensee. The Licensor acquires no rights over it. 7.2. User Content stays on the Licensee's computer. The Program does not transmit it, does not copy it off the computer and does not make it available to anyone. 7.3. The Licensee is responsible for having the right to use the User Content they load into the Program, in particular third-party captures and impulse responses. 7.4. Uninstalling the Program does not delete the User Content. Keeping and backing it up is the Licensee's responsibility. 8. DATA PROTECTION ------------------ 8.1. The Program does NOT collect, transmit or communicate any data. It includes no telemetry, usage statistics, online license checks or network connection of any kind. 8.2. The only personal data the Program stores are the email address and the Key voluntarily provided when registering the LIVE License, and they are stored only on the Licensee's computer, in their user data folder. 8.3. The Licensor processes the purchase email address solely to issue the Key and provide support, in accordance with the applicable data protection regulations. The Licensee may request its deletion, with the consequence that it will no longer be possible to reissue the Key. The details are in the Privacy Policy: https://valvexamp.com/privacy.html 9. THIRD-PARTY COMPONENTS ------------------------- 9.1. The Program incorporates third-party software components, each under its own license. The complete list, with the full text of each license, is in the file AVISOS-DE-TERCEROS.txt that accompanies the Program. 9.2. In the event of a conflict between this Agreement and the license of a third-party component, the latter shall prevail with respect to that component. 9.3. VST and ASIO are registered trademarks of Steinberg Media Technologies GmbH. Windows is a trademark of Microsoft Corporation. 9.4. THIRD-PARTY TRADEMARKS. Any other trademark, product name or manufacturer name mentioned in the Program, its documentation or its website belongs to its owner. The Licensor is not affiliated with any of them and is not sponsored or endorsed by them; any such reference is made only to describe a style of sound. The names, graphics and code of the Program are the Licensor's own. 10. WARNING ABOUT SOUND LEVEL AND HEARING SAFETY ------------------------------------------------ 10.1. The Program produces a high-level audio signal with dynamic behavior. An incorrect configuration, an equipment failure, a sudden configuration change or a feedback loop can generate peaks capable of damaging hearing and speakers. 10.2. The Licensee undertakes to use the Program at prudent monitoring levels and to raise the volume gradually, especially when using headphones. 10.3. The Licensor is not liable for hearing or material damage resulting from the playback level chosen by the Licensee. 11. UPDATES AND SUPPORT ----------------------- 11.1. Updates within the same major version are delivered at no additional cost to LIVE License holders. 11.2. The Licensor is under no obligation to publish updates, to maintain indefinite compatibility with future hosts and operating systems, or to provide support within any given time frame. 11.3. A future major version may be sold separately. In that case, the already licensed Program will continue to work under this Agreement. 12. WITHDRAWAL AND REFUNDS -------------------------- 12.1. The Free Version allows the Program to be evaluated with no time limit and on the Licensee's own computer before buying. The LIVE License is therefore purchased with knowledge of the product. 12.2. Since this is digital content supplied immediately, a Licensee who is a consumer and resides in a territory that recognizes a right of withdrawal, by requesting immediate delivery of the Key, expressly consents to that delivery and acknowledges that they thereby lose the right of withdrawal, on the terms established by their legislation. 12.3. Notwithstanding the above, the Licensor will honor refund requests made within fourteen (14) calendar days of purchase when the Program does not work on the Licensee's computer for reasons attributable to the Program. Once the refund is accepted, the Key will be revoked. 13. WARRANTIES -------------- 13.1. The Program is provided "AS IS" and "AS AVAILABLE". 13.2. To the fullest extent permitted by applicable law, the Licensor disclaims all warranties, express or implied, including those of merchantability, fitness for a particular purpose, non-infringement and uninterrupted or error-free operation. 13.3. The Licensor does not warrant that the Program is suitable for use in situations where a failure could cause personal injury or property damage, or in broadcast, professional live or critical installation environments without redundancy. A Licensee who uses it for such purposes assumes that risk in full and undertakes to have alternative means available. 13.4. NOTHING IN THIS SECTION LIMITS OR EXCLUDES THE MANDATORY LEGAL RIGHTS THAT THE LICENSEE HAS AS A CONSUMER, which are fully recognized and prevail over this Agreement to the extent applicable. 14. LIABILITY ------------- 14.1. To the fullest extent permitted by applicable law, the Licensor's total and cumulative liability arising from or related to this Agreement is limited to the amount actually paid by the Licensee for the LIVE License in the twelve (12) months preceding the event giving rise to the claim. 14.2. In no event shall the Licensor be liable for loss of profits, loss of data, recordings, configurations or business opportunity, or for indirect, incidental, special or consequential damages, even if advised of their possibility. 14.3. The limitations in this section do NOT apply to willful misconduct, gross negligence, damage to life or physical integrity, or any other liability that applicable law declares cannot be excluded or limited. 15. TERM AND TERMINATION ------------------------ 15.1. This Agreement has an indefinite term. 15.2. The Licensor may terminate it, after prior notice and a reasonable period to cure where the breach can be cured, in the event of a material breach by the Licensee, in particular of sections 5 and 6. 15.3. Upon termination, the Licensee shall stop using the Program and delete its copies. User Content is not affected. 15.4. Sections 6, 7, 9, 10, 13, 14 and 16 survive termination. 16. GOVERNING LAW AND JURISDICTION ---------------------------------- 16.1. This Agreement is governed by the laws of the Republic of Colombia, without application of its conflict-of-laws rules. 16.2. The judges and courts of the Licensor's domicile shall have jurisdiction over any dispute. 16.3. The foregoing is WITHOUT PREJUDICE to the mandatory consumer protection rules of the Licensee's country of habitual residence, which shall apply preferentially where they so provide, including the jurisdiction of the courts of that country. 17. GENERAL PROVISIONS ---------------------- 17.1. ENTIRE AGREEMENT. This Agreement, together with AVISOS-DE-TERCEROS.txt, constitutes the entire agreement between the parties on its subject matter and supersedes any prior communication. 17.2. SEVERABILITY. If any clause is declared void, the validity of the remaining clauses shall not be affected, and they shall be interpreted in the way that comes closest to the purpose of the voided clause. 17.3. NO WAIVER. Tolerating a breach does not imply a waiver of the right to enforce it in the future. 17.4. AMENDMENTS. The Licensor may amend these terms for future versions. Amendments shall NOT apply retroactively to licenses already acquired, which are governed by the version accepted at the time. 17.5. LANGUAGE. The Spanish version is the authentic version. Any translation is provided for information purposes only and, in case of discrepancy, the Spanish text prevails. 17.6. NOTICES. Communications to the Licensor are sent to soporte@valvexamp.com or to the address stated in section 1.2. ------------------------------------------------------------------------------- End of the terms. The version of this document is stated in its heading.
